Terms & Conditions for Ready2use User Agreement

By making your application for Ready2use and using the service you will be deemed to have accepted these terms and conditions.

Access to and use of Ready2use is provided by AP Merrion & Associates Limited hereinafter called Ready2use.

Explanation of certain words

"Agreement", and "user licence", means the application details you have provided to us when accepted, these terms and conditions and our current price list shown on our website.

"Commencement Date" means the date that the licence starts and your software is activated.

"Minimum Period" means a period of 12 months from the day on which the service is first provided.

"Renewal date" means the anniversary of the commencement date.

"We", "Us" and "Our" means Ready2use, AP Merrion & Associates Limited.

"You" and "user" means the customer or subscriber who we make the user agreement with or anyone acting with your authority.

"Service" means the provision of Ready2use, its tools and support as a licence to you.

What you are buying

We agree to set up a website template for you at the costs specified on our web site including the user licence fees which includes registration of your chosen domain name and keeping this name registered, hosting your website, use of the software and editing tools enabling you to change your content at any time without further fees and 24 hour email support.

Provisions and use of the service

We will endeavour to ensure Ready2use software, services and administration tools and your website are available at all times.

This excludes periods of scheduled maintenance and where possible we will notify you in advance by email, except in emergencies.

Whilst we offer technical support for the ready2use software we do not offer support for your email settings on your computer.

We cannot be held responsible for any access failure beyond our control, such as telecommunications failures, third party problems or force majeure.

Under no circumstances will we be liable for any loss of data or consequential loss.

Compatibility of Service

Whilst every care is made to ensure browser type compatibility some minor browser interpretation may occur.

Hosting Limit

This licence entitles you to 100 Mb per user licence.

Payment

Payment will be by direct debit payable monthly, quarterly or annually.

Intellectual Property Rights and Copyright

The Ready2use software is licensed to you and it cannot be copied in part or whole.

You must not copy material for use on your website or use material that is not yours or you do not have permission from the owners to use, and you will indemnify us against any third party actions as a result of expenses, claims or judgements against us as a result of copyright infringement.

All source code, the design template and website layout is the property of Ready2use.

The website you have built using the software tools under licence cannot be moved to a different service provider.

Multiple Websites

This licence entitles you to use the software for one website only.

Length of Agreement

This user agreement commences on the day your service goes live. At the end of the minimum period this agreement will continue until it is terminated in accordance with the conditions of ending agreement.

Ending agreement

We can end this agreement at any time without notice if:-

  1. you fail to pay the charges when they are due
  2. we have reason to believe you are in breach of this agreement
  3. you are subject to a bankruptcy order or become insolvent
  4. you are using the website for unlawful purposes and in a way that is causing harassment, distress or inconvenience to others
  5. you use obscene or offensive content
  6. this agreement may be ended by you or us giving at least 30 days notice, providing you are over the minimum period.
  7. if this agreement is ended by you during the minimum period you must pay the monthly subscription charges up to the end of the minimum period

If your website is disconnected because you have not paid your charges there will be a re-connection fee of £30.

Changes to this User Agreement

We may change this user agreement and charges at any time.

Consequences of Termination

Termination will result in the loss of the website template, design and layout, use of the software tools and user licence.

The items that you have put on the website such as photographs, drawings, maps, words and logos are your property and as such you are responsible for keeping file copies of your own components.

We cannot supply copies of these components to you should you have lost your disks or computer files.

Transfer of Service

We can transfer the service or subcontract this service agreement at any time.
